ARTICLE I – CLUB NAME
The name of the organization shall be, “Rocky Mountain Triumph Club” (RMTC).
ARTICLE II - PURPOSE
The Rocky Mountain Triumph Club was formed as a nonprofit organization by enthusiasts for the preservation and enjoyment of the Triumph marque. Membership is open to anyone with this interest. RMTC sponsors and organizes events such as rallyes, shows, tours, tech sessions, and monthly meetings. Through monthly newsletter articles, tech sessions and individual knowledge, the RMTC provides information to keep Triumphs in driving condition and adds to the enjoyment of Triumph ownership. The RMTC is a chapter of
the national Triumph organization, The Vintage Triumph Register (VTR).
ARTICLE III – MEMBERSHIP
Section 1.
a. Types of memberships are Active and Honorary.
b. Honorary membership requires a majority vote of all officers.
Section 2. Qualification for membership is interest in the Triumph marque.
Section 3. Dues must accompany the membership application.
Section 4. Annual dues shall be payable on the anniversary month of each enrollment.
Section 5. A member who is dropped from the membership for non-payment of dues may be reinstated upon payment of dues.
Section 6. A member who resigns from the club will not have their dues refunded for the unused time period.
Section 7. New members shall be given one (1) nametag per membership and a copy of the Constitution and Bylaws.
ARTICLE IV – ELECTED AND VOLUNTARY OFFICERS
Section 1. Elected officers of this organization shall be Prime Minister, Vice-Prime Minister, Minister of Letters, Treasurer, Events Coordinator, Newsletter Editor, Minister of Membership, and Regalia.
Section 2. In the event the office of Prime Minister becomes vacant, the Vice-Prime Minister becomes Prime Minister. A general election shall be held to fill a vacancy for any other vacated elected office.
Section 3. Voluntary officers shall be Minister of Publicity, Minister of Archives, Newsletter Publisher and Webmaster.
ARTICLE V – ELECTIONS
Section 1.
a. Officers shall be elected at the November general meeting to serve for a term of one year. An officer may not hold the same office for more than two consecutive years unless approved by three-quarters (¾) of those members present. To the extent possible, elected officers should be staggered to provide continuity and experience.
b. A plurality of members voting shall constitute an election to office.
Section 2. Nominations for board member positions will be accepted from the general membership present at the September and October meetings.
Section 3.
a. Election of officers shall be by secret ballot.
b. Voting privileges shall be extended to Active and Honorary members as defined in Article III.
c. Mail-in ballots for new officers shall be included in the November newsletter and must be received at the RMTC post office box no later than the Friday preceding the November general meeting.
d. Declinations of nominations for office must be in the hand of the Minister of Letters before the close of the October general meeting.
ARTICLE VI – OFFICERS RESPOSIBILITIES
Section 1. The Prime Minister shall preside at all club and board meetings. With the Board, the Prime Minister shall have the authority to appoint committee heads, sign all checks with the Treasurer, and serve as exofficio member of all committees.
Section 2. The Vice-Prime Minister shall assume the duties of the Prime Minister in his/her absence, automatically become Prime Minister in case the office becomes vacant, and have property responsibilities to include maintaining a list of property owned by the club and transfer of property within and outside of the club. He/she ensures equipment is present at club functions as needed.
Section 3. The Minister of Letters shall record all proceedings of the monthly and board meetings and handle all official club correspondence.
Section 4. The Treasurer shall collect all dues and care for the club’s funds, keep an accurate record of the receipts and payments, and submit a financial report at each general board meeting.
Section 5. The Events Coordinator shall insure a calendar of events is published monthly in the newsletter and coordinate the conduct of club events accordingly. He/she should enlist the membership to the extent possible in the implementation of scheduled events.
Section 6. The Newsletter Editor shall coordinate the timely publication of a monthly newsletter.
Section 7. The Regalia officer shall make recommendations to the Board for the purchase of regalia items for resale to RMTC members and non-members; obtain awards, trophies, and dash plaques for club events.
Section 8. Minister of Membership shall maintain the club membership list, publish and distribute it to the membership in January, and order and distribute nametags as required.
Section 9. The Minister of Publicity will advertise club functions as appropriate and solicit advertising for the newsletter.
Section 10. The club Minister of Archives shall keep all records of the club’s events and history. He/she shall keep the club’s newsletters and history filed and available for inspection and use.
Section 11. The Newsletter Publisher shall arrange to pick up the newsletter from the printer and mail it to membership in a timely manner.
Section 12. The Webmaster shall maintain the club website.
ARTICLE VII - MEETINGS
Section 1. General membership meetings are to be held each month on a day and at a place to be determined by the Board.
Section 2. Special meetings may be called by the Prime Minister, the Board, or upon request of ten members. Ten members and two elected Board members shall constitute a quorum of the special meeting.
ARTICLE VIII - BOARD
Section 1. The Board shall consist of the eight elected officers who have voting privileges and the four voluntary officers that do not have voting privileges.
Section 2.
a. Meetings of the twelve-member board shall be held monthly.
b. A majority of elected board members constitutes a quorum.
Section 3.
a. The Board shall have supervision over the affairs of the club in between meetings.
b. A review of the club’s finances shall be performed by the incoming and outgoing boards in time for the February general meeting. Each outgoing board shall leave shall leave in the treasury a sum of money at least equal to the unpaid bills and obligations.
ARTICLE IX - COMMITIEES
Section 1. The elected officers shall appoint committee chairpersons as required who will report to the Board for the performance of their duties.
Section 2. The following committee chairpersons shall be appointed by the Board:
a. Annual Banquet
b. Christmas Party
Section 3. Committee chairpersons are encouraged to solicit help from the membership to complete their duties.
Section 4. The Board may appoint special committees as the need arises.
Section 5. In the event that there is an interest in the RMTC hosting a regional or national VTR convention, it must be approved by majority at any general meeting. Additionally, the Chairperson and Vice-Chairperson shall be approved by a majority vote at any general meeting.
ARTICLE X - RECALL
The Board shall remove an officer upon presentation of sufficient evidence of a lack of performance. Discipline or removal of an officer shall be by unanimous vote of the Board.
ARTICLE XI – PARLIAMENT AUTHORITY
“Robert’s Rules of Order” shall govern the proceedings of the club.
ARTICLE XII – AMMENDMENTS
The Constitution and Bylaws may be amended by a two-thirds vote at any general meeting, provided the amendment was submitted in writing at the previous general meeting.
ARTICLE XIII – CLUB DISSOLUTION
If the club is to be dissolved, all assets of the organization shall be auctioned off to the membership and proceeds given to a charity to be named by the Board.
